Role - Introduction of Parties:
✅ “Self-generated” sellers, buyers or both parties to companies’ available equipment
✅ “Self-generated” buyers of “other” services (i.e. decommissioning, installation, etc.)
✅ Maintain and originate business from leads/clients generated by the company.
1. Definitions
1.1 Project
Any transaction or scope of work involving:
✅ the purchase, sale, or remarketing of equipment;
✅ the provision of decommissioning, installation, mission-critical, or related services; or
✅ any combination thereof.
1.2 Total Project Value
The total invoiced amount billed to the customer, excluding taxes, freight (unless included in contractual revenue), or passthrough fees unless approved by Jaylan.
1.3 External Service Provider
A third-party vendor engaged to perform any portion of a service project (e.g., decommissioning, installation, mission-critical).
1.4 External Broker / Partner
Any outside entity or individual that introduces a buyer, seller, or other strategic party to a Project and participates in a revenue or profit split with Jaylan.
1.5 Jaylan Net Revenue (“JNR”)
The portion of Total Project Value retained by Jaylan after:
✅ any percentage split to an External Service Provider, and/or
✅ any percentage or margin split to an External Broker / Partner.
1.6 Jaylan Gross Profit (“JGP”)
Jaylan Net Revenue minus Jaylan’s direct internal costs associated with delivering the project or equipment.
Formula: JGP = JNR – Jaylan Direct Costs
Direct Costs may include equipment cost, freight, rigging, labor, materials, testing, and any related internal delivery expense.
1.7 Stage
✅ Pipeline – anticipated but not closed
✅ Closed – signed, delivered, invoiced, and collectible
1.8 Role Types
A. Relationship Maintenance (Company-Generated Lead)
Contractor maintains and advances a relationship generated by Jaylan’s marketing or corporate channels.
B. One-Side Introduction (Buy OR Sell Side)
Contractor introduces either:
✅ the seller of equipment, or
✅ the buyer of equipment
✅ but not both.
C. Two-Side Introduction (Full Cycle – Buy AND Sell Side)
Contractor introduces or controls both sides of the transaction.
1.9 Compensation Basis
All commissions reference one of the following:
✅ Jaylan Net Revenue (JNR)
✅ Jaylan Gross Profit (JGP)
1.10 Minimum Margin Threshold
A minimum realized margin of % JGP relative to JNR. Commissions may be adjusted or denied if this standard is not met unless pre-approved.
1.11 Override
Management-level compensation based on the Rep Commission generated by Contractors in a manager’s downline.
2. General Compensation Principles
2.1 Net-Only Compensation.
All commissions and overrides are paid ONLY on:
✅ Jaylan Net Revenue (JNR), or
✅ Jaylan Gross Profit (JGP), never on Total Project Value.
2.2 Margin Guardrail.
If the Project falls below the minimum margin threshold, Jaylan may reduce or deny commissions.
2.3 Earning and Payment Timing.
Commissions and overrides are earned ONLY when:
✅ the Project is marked Closed, and
✅ Jaylan receives payment for the portion of revenue used to calculate compensation.
2.4 Clawback.
If payment is refunded, reversed, or unpaid, commissions are subject to adjustment or reversal.
2.5 Multiple Contributors.
Jaylan may allocate role credit across contributors.
3. Commission Rates
3.1 Equipment Transactions (Based on JGP)
A. Internal Equipment Deals (Jaylan retains 100% of margin)
Relationship Maintenance (Company Lead):
✅ ≤ $25,000 JGP →
✅ $25,001–50,000 →
✅ $50,001–100,000 →
✅ $100,000 →
One-Side Introduction (Buy OR Sell):
✅ ≤ $25,000 JGP →
✅ $25,001–50,000 →
✅ $50,001–100,000 →
✅ $100,000 →
Two-Side Introduction (Full Cycle):
✅ ≤ $25,000 JGP →
✅ $25,001–50,000 →
✅ $50,001–100,000 →

B. Equipment Deals With External Broker (Jaylan receives a reduced share)
Paid on Jaylan Gross Profit (JGP) (after the broker’s portion is removed).

3.2 Service Projects (Based on JNR)
Paid on Jaylan Net Revenue (JNR).

4. Management Overrides
4.1 Eligibility
Granted only by written designation.
4.2 Basis
Overrides are always calculated on the Rep Commission, never on JNR or JGP.
4.3 Standard Override Levels
Level 1 Override — Direct Reports
Manager earns % of the Rep Commission from their directly recruited Contractors.
Level 2 Override — Skip-Level (One Level Down)
Manager earns % of the Rep Commission from Contractors recruited by their direct reports.
4.4 Qualifications
Must meet quarterly volume or team activity requirements.
4.5 Caps
Total overrides on any Project may not exceed % of the Rep Commission.
4.6 No Overrides Without Commissions
If rep commission = $0, override = $0.
